Acceptance of Terms

Your use of the Site constitutes a binding agreement between you and Rinnovare Realty, LLC. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you are under the age of 18, you may use the Site only with the involvement and consent of a parent or legal guardian.

We may revise these Terms at any time. The “Last Updated” date reflects the most recent revision. Continued use of the Site after revisions are posted constitutes your acceptance of the revised Terms.

No Broker-Client Relationship from Site Use

Use of the Site, including browsing listings, submitting an inquiry, or contacting us through the contact form, does not by itself create a broker-client, agency, or fiduciary relationship between you and Rinnovare Realty. A broker-client relationship is established only through a signed written representation agreement that complies with Texas Real Estate Commission requirements.

Texas Real Estate Commission Notices

Rinnovare Realty, LLC is a licensed Texas real estate brokerage. Our broker is responsible for the supervision of all licensed activity on this Site. The following notices are required under Texas Real Estate Commission (“TREC”) rules:

• Information About Brokerage Services — TREC requires that all parties to a real estate transaction receive an Information About Brokerage Services notice at the first substantive communication. The current notice is linked in our website footer.
• Consumer Protection Notice — TREC’s Consumer Protection Notice provides information about how to file a complaint or initiate a recovery claim. The current notice is linked in our website footer.
• Equal Housing Opportunity — Rinnovare Realty complies with all federal, state, and local Fair Housing laws. We do not discriminate on the basis of race, color, religion, sex, handicap, familial status, national origin, or any other protected class.

MLS and Listing Information Accuracy

Property listings on the Site are sourced from the Houston Association of REALTORS® via the Bridge MLS API and from our own listing inventory. While we make reasonable efforts to ensure listing data is current and accurate:

• Information including price, availability, square footage, room counts, lot size, schools, taxes, and HOA fees is sourced from third parties or sellers and may be inaccurate or out of date
• Listings are subject to change, withdrawal, or sale without notice
• Photographs may not reflect current condition of the property
• Buyers and tenants should independently verify all information that is material to their decision

Rinnovare Realty makes no representation or warranty, express or implied, regarding the accuracy or completeness of listing information on the Site.

International Property Listings

Listings shown on our Italy and France pages are presented through Rinnovare Realty, LLC’s network of partner agencies in the respective countries. Properties outside the United States are subject to the real estate laws, transaction processes, currency, taxes, and consumer protections of the jurisdiction where the property is located.

• Pricing for international listings may be displayed in US Dollars or local currency and is subject to exchange rate fluctuations
• Italian transactions follow the Compromesso and Rogito Notarile process; French transactions follow the Compromis de Vente and Acte Authentique process
• Buyers are strongly encouraged to engage local legal counsel and a Notaio (Italy) or Notaire (France) for international transactions

Acceptable Use

You agree to use the Site lawfully and respectfully. You will not:

• Use the Site to violate any applicable federal, state, or local law
• Submit false, misleading, or fraudulent information through any form, application, or portal
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Scrape, harvest, or collect listing data, photographs, or other content for any commercial purpose without our written permission
• Use automated tools (bots, crawlers, scripts) to access the Site in a manner that interferes with normal operation
• Attempt to gain unauthorized access to any portion of the Site, the tenant or vendor portal, or any associated systems
• Interfere with, disable, or circumvent any security or authentication features
• Upload or transmit viruses, malware, or harmful code
• Use the Site to harass, threaten, or harm any other person
• Use the Site for any purpose that is unlawful, offensive, or that violates the rights of others

Intellectual Property

All content on the Site that is owned by or licensed to Rinnovare Realty — including text, photographs, graphics, the Rinnovare logo and lion mark, video content, layout, and software — is the property of Rinnovare Realty, LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

Limited License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal, non-commercial use. You may print or download a single copy of materials for your personal records.

Restrictions

• You may not copy, reproduce, modify, distribute, publish, or sell any content from the Site without our prior written permission
• You may not use the Rinnovare Realty name, logo, or trademarks without written permission
• You may not frame or mirror any portion of the Site on another website

MLS Data

Listing data displayed on the Site is provided under license from the Houston Association of REALTORS® and is subject to MLS rules and copyright. Any reproduction or redistribution of MLS data must comply with MLS terms.

User-Submitted Content

When you submit information through the Site — including contact form messages, rental applications, vendor registrations, maintenance requests, photos uploaded with maintenance requests, or testimonials — you represent and warrant that:

• The information is accurate, complete, and not misleading
• You have the right to submit the information
• The information does not infringe the rights of any third party
• The information is not unlawful, defamatory, or obscene

By submitting content, you grant Rinnovare Realty a non-exclusive, royalty-free, worldwide license to use the content for the purposes of providing services, processing your request, and as otherwise described in our Privacy Policy. You retain ownership of content you submit.

Third-Party Services and Links

The Site uses or links to third-party services, including PayPal, the tenant portal banking system, the maintenance request form provider, Google Maps, the Bridge MLS API, and other partners. We are not responsible for the content, terms, privacy practices, or operation of third-party services. Your use of those services is governed by the terms of the respective providers.

Disclaimer of Warranties

We do not warrant that the Site will be available at any particular time, that defects will be corrected, or that the Site is free of viruses or other harmful components. Your use of the Site is at your own risk.

Limitation of Liability

To the fullest extent permitted by law, Rinnovare Realty, LLC, its officers, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of the Site, including without limitation damages for lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to your use of the Site will not exceed one hundred US dollars ($100.00) or the amount you have paid us, if any, in the twelve months preceding the claim, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Rinnovare Realty, LLC and its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit to the Site.

Termination

We may suspend or terminate your access to all or part of the Site at any time, with or without notice, for any reason, including violation of these Terms. The provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.

Dispute Resolution

Before filing any formal legal action related to your use of the Site, you agree to first contact us at larusso@rrealty.us with a written description of the dispute. We will attempt to resolve disputes in good faith for a period of at least thirty days before either party initiates formal proceedings.

For matters relating to a real estate transaction or licensed activity, the procedures and remedies of the Texas Real Estate Commission may also apply.

Miscellaneous

• Entire Agreement — these Terms, together with our Privacy Policy and any signed agreements between you and Rinnovare, constitute the entire agreement between us regarding your use of the Site
• Severability — if any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect
• No Waiver — our failure to enforce any provision is not a waiver of our right to do so later
• Assignment — you may not assign these Terms; we may assign them in connection with a sale, merger, or transfer of our business
• Headings — section headings are for convenience only and do not affect interpretation
